Terms of Sale — Mail RP
Oct 23, 2026 · @Xelyos
These terms of sale (the "Terms of Sale") govern the subscription to paid Mail RP plans by Administrators. They supplement the Terms of Use, which prevail for all matters not relating to the subscription, its price and its payment. Capitalized terms have the meaning given in the Terms of Use.
Article 1 — Seller and scope
1.1 Seller
Thomas Vandewattyne (Xelyos) EI, sole proprietorship (entrepreneur individuel) — SIREN 923 363 170 — 32 chaussée Brunehaut, 59161 Naves, France — contact@xelyos.fr. VAT not applicable, Article 293 B of the French General Tax Code (CGI).
1.2 Customers
The Terms of Sale apply to any Administrator who subscribes to a paid plan, whether acting as a consumer or as a professional. Provisions reserved for consumers (withdrawal, mediation, legal guarantee) are identified as such.
1.3 Acceptance
A subscription can only be taken out after express acceptance of the Terms of Sale by ticking a checkbox. The accepted version is recorded and sent with the confirmation email.
Article 2 — Plans
Mail RP offers subscriptions only. Up-to-date details of each plan (limits, features, price) are on the Pricing page, which forms an integral part of the Terms of Sale on the date of subscription.
| Plan | Paid |
|---|---|
| Free | No |
| Developer | Yes |
| Standard | Yes |
| Advanced | Yes |
| Premium | Yes |
The Publisher may withdraw a plan from sale; ongoing subscriptions to that plan continue until the end of their term.
Article 3 — Price
3.1 Amount
Prices are shown in euros on the Pricing page, for a monthly, quarterly, semi-annual or annual period. VAT not applicable, Article 293 B of the CGI: the displayed price is the total price paid, with no additional fees.
3.2 Price changes
The price of an ongoing subscription does not change during the paid period. Any increase is notified by email at least 30 days before the renewal date to which it applies. An Administrator who refuses it may cancel before that date, free of charge.
Article 4 — Subscription and promo codes
4.1 Steps
From their panel, the Administrator chooses a plan and a billing period, reviews the summary (plan, price, billing period, renewal), accepts the Terms of Sale, then pays. They may correct their choices at any time before payment.
4.2 Confirmation
A confirmation email summarizes the subscription and attaches the accepted Terms of Sale. The invoice is available in the account area.
4.3 Promo codes
A promo code applies under the conditions stated when it is issued (discount, duration, eligible plans). Unless otherwise stated, it cannot be combined with other offers, and it cannot be exchanged for cash. At the end of the promotional period, the regular price applies; this price is shown at the time of subscription.
Article 5 — Payment
5.1 Payment terms
Payment is made by bank card, or by any other method offered at the time of payment, through the secure payment provider Stripe. The amount is charged at subscription, then automatically at the start of each new period. The Publisher never has access to card numbers.
5.2 Failed payment
If a payment fails, the Administrator is notified by email, the subscription ends and the Server switches to the Free plan, in accordance with Article 12 of the Terms of Use.
Article 6 — Term and renewal
| Billing period | Commitment | Renewal |
|---|---|---|
| Monthly | None, can be cancelled at any time | Automatic every month until cancellation |
| Quarterly | 3 months, paid in advance | Automatic for 3 months, unless cancelled before the renewal date |
| Semi-annual | 6 months, paid in advance | Automatic for 6 months, unless cancelled before the renewal date |
| Annual | 12 months, paid in advance | Automatic for 12 months, unless cancelled before the renewal date |
Reminder for subscriptions with a commitment. The Publisher sends an email no earlier than 3 months and no later than 1 month before each quarterly, semi-annual or annual renewal date. It states the renewal date and the option not to renew. Without this reminder, a consumer Administrator may cancel at any time after renewal and be refunded for the unused period (Article L215-1 of the French Consumer Code).
Article 7 — Plan changes
| Change | Takes effect | Billing |
|---|---|---|
| Upgrade | Upon payment of the difference | The Administrator confirms the change and pays the difference, calculated pro rata for the remaining time. No automatic charge |
| Downgrade | Automatically, at the end of the current period | The current plan continues until the renewal date. The new price applies thereafter. |
| Longer billing period | Upon payment of the difference. The new period runs from the start of the current period | Price of the new period minus the amount already paid for the current period. Example: monthly at €3 to semi-annual at €10 = €7 to pay, then renewal at €10 six months after the start of the initial period |
| Shorter billing period | Automatically, at the end of the current period | The current period continues until the renewal date. The price of the new billing period applies thereafter. |
Downgrading may make some Server items inaccessible (RP Mailboxes, domains); Article 12 of the Terms of Use applies. The summary displayed before confirmation shows the exact amount and the effective date.
Article 8 — Right of withdrawal (consumers)
8.1 Period
A consumer Administrator has 14 days from subscription to withdraw, without giving any reason or paying any penalty (Article L221-18 of the French Consumer Code).
8.2 Immediate access
The subscription is activated upon payment. By subscribing, the Administrator expressly requests this immediate performance. They retain their right of withdrawal. If they exercise it, they pay only for the days already elapsed (Article L221-25).
8.3 Exercising the right
The Administrator informs the Publisher of their decision before the period ends, by an unambiguous statement sent to contact@xelyos.fr.
8.4 Refund
The Publisher refunds the amounts paid, less the pro rata amount under Article 8.2, within 14 days of receiving the decision. The refund is made using the original payment method. The Server then switches to the Free plan.
Article 9 — Cancellation by the Administrator
The Administrator may cancel their subscription at any time from their account area, using the "Manage my subscription" feature, which is permanently accessible (Article L215-1-1 of the French Consumer Code). They receive a confirmation email stating the end date.
Cancellation takes effect at the end of the current, already-paid period: no further payment is taken and the current period is not refunded, except in the case of withdrawal (Article 8), the cases provided for in Articles 3.2, 6 and 12, or a substantial change to a paid plan (Article 13 of the Terms of Use). The Server then switches to the Free plan, in accordance with Article 12 of the Terms of Use.
Article 10 — Suspension and termination by the Publisher
10.1 Breach
In the event of a serious breach by the Administrator of the Terms of Use or the Terms of Sale, the Publisher may suspend and then terminate the subscription. It first sends a formal notice by email, giving 8 days to remedy the breach. If the breach is not remedied, termination takes effect automatically. In the case of manifestly illegal content or a risk to the security of the Service, suspension is immediate. The decision is reasoned in accordance with Article 9.4 of the Terms of Use. Amounts already paid are retained.
10.2 Discontinuation of the Service
If the Publisher stops providing the Service, it notifies Administrators at least 60 days in advance. It refunds the portion of subscriptions paid in advance and not used.
Article 11 — Legal guarantee of conformity and liability
11.1 Legal guarantee (consumers)
The Publisher is liable for any lack of conformity of the Service throughout the subscription (Articles L224-25-1 et seq. of the French Consumer Code). In the event of a defect, the Administrator reports it to contact@xelyos.fr. The Publisher brings the Service into conformity within a reasonable time and at no cost. Failing that, the Administrator may obtain a price reduction or, if the defect is serious, termination of the contract with a refund of the unused period.
11.2 Liability
Article 11 of the Terms of Use applies. Towards a professional Administrator, the Publisher's liability is limited to direct damage and to the amount paid over the last 12 months, except in the event of gross negligence or wilful misconduct.
Article 12 — Changes to the Terms of Sale
The Publisher may change the Terms of Sale. The date of the update appears at the top of the document. The version accepted at subscription applies until the end of the current period.
Any new version is notified by email to subscribed Administrators at least 30 days before the renewal to which it applies. An Administrator who refuses it may cancel before that renewal, free of charge. Price changes follow Article 3.2.
Article 13 — Personal data, mediation and disputes
13.1 Personal data
Data relating to the subscription is processed in accordance with the Privacy Policy. Invoices are kept for 10 years.
13.2 Complaints
Any complaint must first be sent to contact@xelyos.fr. The Publisher responds within 15 days.
13.3 Governing law
The Terms of Sale are governed by French law. Consumers may bring proceedings before the court of their place of residence or of the place where the Service is performed. For a professional Administrator, the competent court is that of the Publisher's registered office.
